1. Acceptance of Terms

By accessing or using FoundryX ("the Platform"), operated at foundry-x.io, you agree to be bound by these Terms of Service. If you do not agree, you may not use the Platform.

2. Description of Service

FoundryX is a platform that connects individuals looking to find co-founders, join startup teams, and collaborate on ventures. Users can create profiles, post listings, browse talent, and apply to opportunities.

3. Account Registration

You must be at least 16 years old to create an account
You must provide accurate and complete information during registration
You are responsible for maintaining the security of your account credentials
You are responsible for all activity that occurs under your account
You must notify us immediately of any unauthorized use of your account

4. User Content

You retain ownership of content you post on FoundryX. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to display and distribute your content on the Platform for the purpose of operating the service.

You agree not to post content that:

Is false, misleading, or fraudulent
Infringes on any third party's intellectual property rights
Contains hate speech, harassment, threats, or discrimination
Contains malware, spam, or phishing attempts
Violates any applicable law or regulation
Impersonates another person or entity
Contains personal information of others without their consent

5. Listings and Applications

All new listings are subject to admin review and approval before becoming publicly visible
We reserve the right to reject, remove, or modify any listing at our discretion
FoundryX does not guarantee that any application will result in a position or partnership
FoundryX is not a party to any agreement, employment, or partnership formed between users
Users are solely responsible for conducting their own due diligence on potential co-founders or team members

6. Prohibited Conduct

You agree not to:

Use the Platform for any illegal purpose
Scrape, crawl, or harvest data from the Platform without permission
Attempt to gain unauthorized access to other accounts or systems
Interfere with or disrupt the Platform's operation
Use automated tools to create accounts or submit content
Post job listings disguised as co-founder opportunities (FoundryX is for equity-based collaboration, not traditional employment)
Solicit users for unrelated products, services, or schemes

7. Moderation and Enforcement

We reserve the right to:

Remove or modify any content that violates these Terms
Suspend or terminate accounts that violate these Terms
Restrict access to features for users who repeatedly violate our policies
Report illegal activity to the appropriate authorities

8. Intellectual Property

The FoundryX name, logo, design, and underlying code are owned by us and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Platform without our written permission.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

We do not endorse, verify, or guarantee the accuracy of any user profiles, listings, or claims made on the Platform. Users interact with each other at their own risk.

10. Limitation of Liability

To the maximum extent permitted by law, FoundryX and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to:

Loss of profits, data, or business opportunities
Disputes between users
Failed partnerships or collaborations
Unauthorized access to your account

11. Indemnification

You agree to indemnify and hold harmless FoundryX, its operators, and affiliates from any claims, damages, or expenses arising from your use of the Platform, your content, or your violation of these Terms.

12. Termination

You may close your account at any time by contacting us. We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Platform ceases immediately.

13. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes by updating the "Last updated" date. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms shall be resolved in the courts of New South Wales, Australia.
